1. Introduction

These Terms of Service ("Terms") govern your access to and use of QuadRamp, a Google Workspace add-on monetization platform ("Service") provided by Uptrend Motion LLC ("Company", "we", "our", or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Definitions

• "Creator" refers to developers who use QuadRamp to monetize their Google Workspace add-ons.
• "End User" refers to individuals who use Google Workspace add-ons that are monetized through QuadRamp.
• "Add-on" refers to software extensions for Google Workspace applications.

3. Account Registration

3.1 Creator Accounts

To use QuadRamp as a Creator, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

4. Service Description

QuadRamp provides a platform for Google Workspace add-on Creators to implement monetization features, including:

• Subscription management
• Payment processing integration
• User license management
• Analytics and reporting
• Trial period configuration

5. Trial Period and Billing

5.1 7-Day Free Trial

QuadRamp offers a 7-day free trial period for new accounts. During this trial period:

• A valid credit card is required for account verification and setup
• No charges will be made to your card during the trial period
• You have full access to all platform features and functionality
• You may cancel your account at any time during the trial without being charged

5.2 Automatic Billing

After the 7-day trial period ends, your subscription will automatically begin and your payment method will be charged according to your selected plan. You may cancel your subscription at any time to avoid future charges.

5.3 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Cancellation will take effect at the end of your current billing period.

6. Creator Obligations

6.1 Compliance with Google Policies

Creators must comply with all applicable Google policies, including the Google Workspace Marketplace Program Policies and Developer Terms of Service.

6.2 Content Restrictions

You may not use the Service to distribute or promote:

• Illegal content or activities
• Malware or harmful code
• Content that infringes intellectual property rights
• Content that violates the privacy or publicity rights of others

6.3 End User Relationships

Creators are responsible for:

• Providing their own Terms of Service and Privacy Policy to End Users
• Handling customer support for their Add-on
• Ensuring compliance with applicable laws regarding their End Users

7. Fees and Payment

7.1 Service Fees

We charge fees for the use of certain features of the Service. All fees are exclusive of taxes.

7.2 Payment Processing

Payment processing services for Creators on QuadRamp are provided by Stripe and are subject to the Stripe Connected Account Agreement.

7.3 Refunds

Our refund policy for the Service fees will be determined at our sole discretion. Creators are responsible for their own refund policies for End Users.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Uptrend Motion LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 Creator Content

Creators retain all rights to their Add-ons. By using the Service, you grant us a license to host, use, and display your Add-on information as necessary to provide the Service.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Uptrend Motion LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
